Organizational Structure

4.1 Organs of the Network

The governance and management of the EduTech Teachers Network shall be vested in the following organs:

a) General Assembly
b) Board of Directors
c) National Executive Council (NEC)
d) Regional Committees
e) Secretariat


4.2 General Assembly

4.2.1 Composition

  • Composed of all registered members of the Network (Associate, Delegate, Institutional, and Honorary).

4.2.2 Mandate

  • Supreme decision-making body of the Network.
  • Convenes annually as the Annual General Meeting (AGM) and may hold extraordinary sessions.

4.2.3 Functions

  • Approve annual work plans, budgets, and audited financial statements.
  • Elect members of the National Executive Council.
  • Receive reports from the Board of Directors and the NEC.
  • Approve amendments to the Constitution, policies, and strategic plans.
  • Confer Honorary Membership upon recommendation by the NEC.

4.3 Board of Directors

4.3.1 Composition

  • Constituted of the founding directors of EduTech Teachers Network Ltd (company limited by guarantee) as registered with the Uganda Registration Services Bureau (URSB).
  • Additional directors may be co-opted in accordance with the Companies Act and with approval of the General Assembly.

4.3.2 Functions

  • Serve as custodians of the legal and policy framework of the Network.
  • Ensure compliance with national laws, URSB requirements, and best governance practices.
  • Provide strategic oversight and policy direction to all organs of the Network.
  • Safeguard the interests of members and stakeholders in all decisions.
  • Institute an independent Electoral Committee (led by a Returning Officer) to conduct national elections and by-elections.

4.4 National Executive Council (NEC)

4.4.1 Composition

The NEC shall consist of the following elected positions:

  • National Chairperson
  • National Vice Chairperson
  • National Treasurer
  • National Secretary
  • Deputy National Secretary
  • Education Level Chapter Leads:
    • Nursery Education Chapter Lead
    • Primary Education Chapter Lead
    • Secondary Education Chapter Lead
    • Tertiary Education Chapter Lead
  • Regional Coordinators for the four main regions of Uganda:
    • Northern Region Coordinator
    • Eastern Region Coordinator
    • Western Region Coordinator
    • Central Region Coordinator

4.4.2 Mandate

  • Act as the principal governing organ between General Assembly meetings.
  • Oversee implementation of policies, programs, and resolutions approved by the General Assembly.
  • Coordinate and support activities across chapters, regions, and special initiatives.
  • Mobilize resources and partnerships to advance the objectives of the Network.

4.4.3 Responsibilities of NEC Members

a) National Chairperson

  • Provide overall leadership to the Network and preside over NEC and General Assembly meetings.
  • Serve as the principal spokesperson and representative of the Network.
  • Guide strategic direction and ensure alignment with the mission and objectives.

b) National Vice Chairperson

  • Support the Chairperson and perform delegated duties.
  • Assume leadership in the absence of the Chairperson.
  • Oversee internal coordination and assist in conflict resolution.

c) National Treasurer

  • Manage financial resources, budgets, and financial reporting of the Network.
  • Oversee collection of membership dues, fundraising, and proper record keeping.
  • Present financial statements to the NEC and General Assembly.

d) National Secretary

  • Maintain accurate records, minutes, and correspondence of the Network.
  • Coordinate issuance of notices, agenda, and documentation for meetings.
  • Ensure secure custody of the Networkโ€™s official records.

e) Deputy National Secretary

  • Assist the National Secretary in their duties.
  • Act as Secretary in the absence of the National Secretary.

f) Education Level Chapter Leads

  • Represent the interests of teachers in their respective education levels (Nursery, Primary, Secondary, Tertiary).
  • Coordinate programs and initiatives specific to their chapter.
  • Provide feedback to the NEC on level-specific challenges and opportunities.

g) Regional Coordinators

  • Mobilize members and coordinate activities within their regions.
  • Organize regional workshops, trainings, and events aligned with the Networkโ€™s objectives.
  • Serve as liaison between the NEC and regional members.

4.4.4 Special Working Committees

  • The NEC may constitute Special Working Committees to address thematic areas, including but not limited to:
    • Digital Safety and Cybersecurity
    • Special Needs Education (SNE) and Inclusion
    • Innovation and Emerging Technologies
    • Finance and Resource Mobilization
  • Membership of these committees shall be drawn from within the NEC and the broader Network membership based on expertise and interest.

4.5 Regional Committees

4.5.1 Composition

  • Regional Chairperson (Regional Coordinator) and Vice Chairperson.
  • Sub-regional mobilizers representing clusters of districts within the region.

4.5.2 Functions

  • Mobilize and register members at grassroots level.
  • Implement NEC resolutions at the regional level.
  • Coordinate regional events, trainings, and exhibitions.
  • Serve as primary contact for member concerns within the region.

4.6 Secretariat

4.6.1 Composition

  • The Secretariat shall be managed by staff hired by the NEC, led by an Administrative Manager.
  • Support staff may include:
    • Programs Officer
    • Finance and Administration Officer
    • Membership and Welfare Officer
    • Communications Officer

4.6.2 Functions

  • Handle day-to-day administrative and operational tasks of the Network.
  • Implement NEC decisions and support program delivery.
  • Maintain membership records, financial accounts, and organizational communications.
  • Provide logistical support for trainings, events, and exhibitions.
